Terms of Use

These terms apply to everyone who uses a virtual office provided by 1001497538 Ontario Inc. ("Capped", "we", "us") to a real estate brokerage: agents, staff, owners and anyone signing documents sent through it. By signing in or signing a document, you agree to them.
What this is
The virtual office is your brokerage's private online workspace: its roster, events, announcements, resources, marketing materials and document signing. Your brokerage decides who is invited, what each person can do and which features are switched on.
Capped provides the service to your brokerage under a separate agreement between them. If these terms and that agreement differ on something between Capped and your brokerage, that agreement applies.
Your account
- Keep your password private and use your own account; accounts are for one person.
- Keep your details accurate, particularly your name and email address, since documents you sign carry them.
- Tell your brokerage straight away if you think someone else has used your account.
Your brokerage can change your role or remove you at any time. A removed account can be restored for 30 days, then it and its records are deleted.
Using it properly
Use the virtual office only for your work with your brokerage, and lawfully. In particular, do not:
- try to reach information, offices or brokerages you have not been given access to;
- copy the roster or colleagues' details for use outside the brokerage, or use them to solicit;
- upload anything unlawful, infringing, harassing or harmful, including malicious software;
- interfere with the service, overload it, or access it by automated means other than those we provide.
What you add
You keep the rights to what you upload or write, such as your headshot, bio and files. You allow your brokerage and us to store, display and process it as needed to run the virtual office for your brokerage. Your brokerage's own materials belong to your brokerage.
You are responsible for what you add, and for having the right to share it.
Signing documents electronically
When you sign through the virtual office, you agree to do business electronically: to sign, and to receive documents and related notices, electronically. Your electronic signature has the same effect as a handwritten one. We record when and from where each document was signed, so the signature can be relied on.
You can ask your brokerage for a paper copy of anything you signed, or decline to sign electronically before you sign; declining means arranging another way with your brokerage. Copies of what you signed are in My documents for as long as you are with the brokerage, and are emailed to you when you finish.
Documents are prepared and sent by your brokerage. We do not review their content and do not give legal or tax advice.
Payments
When your brokerage collects a payment through the virtual office, it is processed by Stripe on the brokerage's own Stripe account, under Stripe's terms. Capped never receives or stores your card details.
Other services
Your brokerage can link to other websites and tools. They are run by others under their own terms; we are not responsible for them.
Availability and changes
We work to keep the virtual office available and secure, but cannot promise it will always be uninterrupted or error-free. We may improve, change or retire features, and may suspend access to protect the service or other users.
Disclaimers and limits
The virtual office is provided "as is". To the extent the law allows, we disclaim all warranties not stated in these terms, and we are not liable for indirect, incidental or consequential losses, or for lost profits or data, arising from your use of it.
To the extent the law allows, Capped's total liability to you for any claim about the virtual office is limited to one hundred US dollars. Nothing in these terms limits liability that cannot be limited by law.
Ending
You can stop using the virtual office at any time by asking your brokerage to remove you. We may suspend or end access for anyone who breaks these terms. The sections on what you add, disclaimers and limits, and governing law continue to apply afterwards.
Changes to these terms
We may update these terms. We will change the date at the top, and for significant changes we will let your brokerage know or show a notice in the virtual office. Continuing to use it after an update means you accept the new terms.
Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, except where the law of the place you live requires otherwise.
